Use of the Platform is limited to individuals who are at least 18 years old and legally able to enter into a binding agreement. Use of the Platform is void where prohibited by law. We reserve the right to restrict access to the Platform at our sole discretion, including by terminating accounts or denying registrations without prior notice.

To access certain features of the Platform, you must create an account. You agree to provide accurate, complete, and up-to-date information during registration and to update such information promptly if it changes. You are responsible for safeguarding your login credentials and for any activity conducted under your account. Crib will not be liable for any loss or damage arising from unauthorized use of your account. You must notify us immediately if you suspect any unauthorized use.

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Platform to violate the rights of others, interfere with its operation, or attempt to gain unauthorized access to our systems. You may not upload or share any content that is unlawful, abusive, harassing, misleading, libelous, defamatory, obscene, or otherwise objectionable in our sole judgment. Crib reserves the right to investigate any potential violations of these Terms and take any appropriate legal or administrative action.

Crib acts solely as a technology platform to facilitate roommate introductions and rental-related connections. We do not verify user identities, screen backgrounds, or vet property listings, unless explicitly stated otherwise. Crib makes no guarantees as to the accuracy, legality, safety, or suitability of any users, profiles, content, or listings. We are not a party to any lease or rental agreement. You are solely responsible for evaluating and entering into arrangements with other users. You assume all risks associated with using the Platform, including interacting with users offline or entering rental agreements.

You may post content such as photos, text, ratings, reviews, or messages (“User Content”) through the Platform. You retain ownership of your User Content, but by posting it, you grant Crib a worldwide, non-exclusive, royalty-free, irrevocable, perpetual, and sublicensable license to use, host, reproduce, modify, adapt, publish, distribute, and display such content in connection with operating and promoting the Platform. You are solely responsible for your User Content, and you represent that it does not infringe any third-party rights. We reserve the right to remove or restrict access to any User Content that violates these Terms or is otherwise objectionable in our sole discretion.

Certain features of the Platform may require payment. By purchasing any service or subscription, you authorize Crib or its third-party payment processors to charge your designated payment method for all applicable fees, including recurring charges where applicable. All payments are non-refundable unless otherwise stated. Crib reserves the right to modify pricing, features, or billing practices at any time, with notice as required by applicable law.

All content, software, design, logos, and other materials on the Platform are the exclusive property of Crib or its licensors and are protected by intellectual property laws. Except as expressly authorized, you may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform. Any unauthorized use of the Platform or its content may result in civil or criminal penalties.

Crib may terminate or suspend your access to the Platform at any time and for any reason, including but not limited to violation of these Terms, fraudulent activity, or potential legal risk. Upon termination, your right to use the Platform will cease immediately. Crib may also delete or deactivate your account and any associated content. These Terms shall survive termination where reasonably necessary to fulfill their purpose, including indemnification, limitation of liability, and dispute resolution provisions.

You agree to indemnify, defend, and hold harmless Crib, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, or expenses, including attorneys’ fees, arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another user or third party.

The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. Crib expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Platform will be secure, available, error-free, or that any content or user interaction will be safe, accurate, or reliable.

To the maximum extent permitted by law, Crib and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use or inability to use the Platform. In no event shall Crib’s total liability to you exceed the amount you paid us, if any, in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Any dispute or claim arising from or relating to these Terms or the Platform shall be resolved through final and binding arbitration administered by the American Arbitration Association under its applicable rules. You waive your right to a jury trial and to participate in class actions or class-wide arbitration. The arbitration shall take place in the State of Delaware unless otherwise agreed. Nothing in this section shall preclude either party from seeking equitable relief in a court of law.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute that is not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware.

We reserve the right to modify these Terms at any time. If we make material changes, we will provide reasonable notice through the Platform or by email. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

If you access the Platform through the Apple App Store or Google Play, you acknowledge that these Terms are between you and Crib, not Apple or Google. Neither Apple nor Google is responsible for the Platform or its content. You agree to comply with all applicable App Store or Google Play terms of service.

These Terms constitute the entire agreement between you and Crib and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force. Crib’s failure to enforce any provision shall not be deemed a waiver of such provision. You may not assign or transfer your rights under these Terms without our prior written consent. Crib may freely assign or transfer these Terms.
